I, [name of designated Company Filer/User], of legal age, Filipino, with office address at ________
and employed with [name of corporation], herein referred to as COMPANY, as [position], in
[department/division], hereby acknowledge the following:
1.
I am the duly appointed/designated Company Filer/User of [name of corporation] as approved by
the Board of Directors of [name of corporation] in a meeting held on [date of meeting] as
evidenced by a Secretary’s Certificate dated _________.
2.
The Company authorizes the persons stated in the User Designation Form which is attached hereto
as “Annex A” as evidenced by a Secretary’s Certificate dated _______. In the event that there is any
change in the two (2) authorized personnel in the User Designation Form, the COMPANY shall notify
the SEC within five (5) days from such change.
3.
The COMPANY hereby freely and voluntarily agrees to use the Capital Market Participants
Registration System (CMPRS), a computerized internet-based real time facility that allow on-line
submission and/or uploading of applications, evaluation and processing of applications, issuance of
registration/licenses, payment of annual fees and monitoring of capital market participants, both
institutions and professionals.
4.
The COMPANY hereby agrees to follow faithfully the rules and regulations adopted by the SEC
regarding the implementation of the CMPRS, as embodied in the Terms and Conditions applicable to
the type of application or transaction being applied for by the Capital Market Participant (CMP).
5.
The COMPANY hereby undertakes that it shall be responsible for the scanning and uploading of its
application forms, attachments and supporting documents using the CMPRS.
6.
The COMPANY hereby undertakes that it shall be responsible and accountable for all its filings,
thereby warranting that the application forms, attachments and supporting documents are
accurate, correct, true and official representations of the hard copies thereof.
7.
The COMPANY hereby undertakes to assume full responsibility and accountability for each and
every use of its user IDs and passwords, as well as for each and every access to its assigned account.
8.
The COMPANY hereby undertakes that it shall not deny or repudiate its online submission and/or
uploading of its application forms, attachments and supporting documents using the CMPRS
considering its full control over the use of assigned accounts, IDs and passwords.
9.
The COMPANY shall be responsible and accountable for any error, discrepancy or irregularity in the
submitted documents through the CMPRS. Any controversy or dispute arising from the online
submission and/or uploading of these documents shall be resolved solely by the SEC.
10. The COMPANY hereby undertakes that it shall submit hard copies of the application forms,
attachments and supporting documents upon notification by the SEC.
11. The COMPANY hereby undertakes to inform the SEC of any change in the company filers/users
within five (5) days from occurrence of the change.
